License Agreement

Software License Agreement and Warranty
BY OPENING THE SOFTWARE PACKAGE OR BY INSTALLING THE SOFTWARE PACKAGE, 
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT AND 
AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.  YOU FURTHER AGREE THAT IT 
IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US AND 
SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, EITHER WRITTEN OR ORAL, AND 
ANY OTHER COMMUNICATIONS BETWEEN US RELATING TO THE SUBJECT MATTER OF THIS 
AGREEMENT.  YOU FURTHER AGREE THAT IF INTRASYS INTERNATIONAL INCORPORATED 
IS REQUIRED TO ENGAGE IN ANY PROCEEDING, LEGAL OR OTHERWISE, TO ENFORCE 
ITS RIGHTS UNDER THIS AGREEMENT, INTRASYS INTERNATIONAL INCORPORATED SHALL 
BE ENTITLED TO RECOVER FROM LICENSEE, IN ADDITION TO ANY OTHER SUMS DUE, 
REASONABLE ATTORNEY FEES, COSTS AND DISBURSEMENTS.

License Agreement

This License permits you to:
1. Use this software without time limit on ONE PC. 
   IF YOU INSTALL THIS SOFTWARE ON MORE THAN ONE PC, THE LICENSE IS 
   AUTOMATICALLY TERMINATED.

2. Use this software to compile applications for which you are otherwise 
   duly entitled to compile, royalty-free with respect to Intrasys 
   International Incorporated.

3. Transfer this software to a third party, provided that the third party 
   agrees to all of the terms and conditions of this License Agreement, and 
   you do not retain any copies of this software. 
   IF YOU RETAIN ANY COPIES OF THIS SOFTWARE UPON TRANSFER TO A THIRD PARTY, 
   THE LICENSE IS AUTOMATICALLY TERMINATED.

You are NOT permitted to:
1. Make modifications to any portion of this software product.

2. Merge this software product or any portion of it into another program or 
   product.

3. Decompile, reverse engineer, disassemble, or otherwise reduce the software 
   to human-perceivable form.

4. Rent, lease, loan, sell, distribute or create derivative works based in 
   whole, or in part, upon the software.

Limited Warranty and Limitation of Liability
Intrasys International Incorporated warrants the media on which the software 
furnished, if furnished on physical media, to be free of defects in material 
and workmanship under normal use for a period of ninety (90) days from the 
date of shipment.  If provided via the Internet, Intrasys International 
Incorporated warrants the electronic copy available online to correctly 
download to the purchaser's PC, provided the purchaser is correctly configured 
to receive electronic downloads of the appropriate file size, and provided the 
purchaser downloads the software within ninety (90) days from the date of 
purchase.

Purchaser's exclusive remedy shall be the replacement of defective media or 
download from the Intrasys website.  If Intrasys International Incorporated is 
unable to replace the physical media or provide the software via electronic 
download within a reasonable amount of time, the purchaser may terminate this 
Agreement by returning the program and all copies, documentation and proof of 
purchase for a refund of the purchase price.

Intrasys International Incorporated does not warrant that the operation of the 
program will meet the purchaser's requirements or that the operation of the 
software will be uninterrupted, or error-free, or that defects in the software 
will be corrected.  The program is provided "AS IS" without warranty of any kind.
The entire risk as to the quality and performance of the program is with the 
purchaser.  If the program proves defective or inadequate, purchaser assumes 
the entire cost of servicing or repair.  No oral or written information or 
advice given by an Intrasys International Incorporated representative shall 
create a warranty or in any way increase the scope of this warranty.

INTRASYS INTERNATIONAL INCORPORATED MAKES NO OTHER WARRANTY, EITHER EXPRESSED 
OR IMPLIED, WITH RESPECT TO THIS PRODUCT.  INTRASYS INTERNATIONAL INCORPORATED 
SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS 
FOR A PARTICULAR PURPOSE.

THE REMEDIES PROVIDED HEREIN ARE PURCHASER'S SOLE AND EXCLUSIVE REMEDIES.  
UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL INTRASYS INTERNATIONAL 
INCORPORATED BE LIABLE FOR ANY LOST PROFITS, DIRECT, INDIRECT, SPECIAL, 
INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER BASED ON CONTRACT, TORT, OR ANY 
OTHER LEGAL THEORY, EVEN IF INTRASYS INTERNATIONAL INCORPORATED HAS BEEN 
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN NO EVENT SHALL INTRASYS 
INTERNATIONAL INCORPORATED'S TOTAL LIABILITY FOR TOTAL DAMAGES, LOSSES AND 
CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR 
OTHERWISE, EXCEED THE AMOUNT PAID BY THE PURCHASER FOR THE SOFTWARE.

Export Law Assurances
You agree to comply with all export laws, regulations and restrictions of the 
United States of America.

Controlling Law
This license shall be governed by and construed in accordance with the laws of 
the state of Texas.

Termination
This license and your rights to use this software shall automatically terminate 
if you fail to comply with any provision of this License and Warranty Agreement.
